Service contract template
A plain-language starting point for a recurring or project service agreement. This is not legal advice, and laws vary by state. Have an attorney licensed where you operate review your final version before you use it.
1. Parties and term
This agreement starts on the start date and renews for the same term unless either party gives written notice at least 30 days before renewal.
- Service provider (legal name)
- Customer (legal name)
- Service address(es)
- Start date
- Term / renewal
2. Scope of work
Describe what is included as specifically as you can: equipment or areas covered, visit frequency, what each visit includes, and response times for service calls. List what is excluded just as clearly; most disputes start in the gap between the two.
- Included services
- Visit frequency
- Response time
- Exclusions
3. Pricing and payment
- Recurring fee, billing frequency, and what it covers
- Rates for work outside scope (labor rate, trip charge, after-hours multiplier)
- Parts and materials pricing (cost plus a stated markup, or list price)
- Payment terms (for example, due within 30 days of invoice) and accepted payment methods
- Late fee, if any, within what your state allows
- Price adjustment notice period
4. Change orders
Work outside the scope above is quoted and approved in writing (email or signed quote) before it starts, except emergency work needed to prevent damage or a safety hazard, which the customer will be told about as soon as possible.
5. Site access and customer responsibilities
- Access to the site and equipment during agreed hours
- Safe working conditions and disclosure of known hazards
- A point of contact who can approve work
- Pets secured; gate and alarm codes provided where needed
6. Warranty and liability
State your workmanship warranty period, how claims are made, and that manufacturer warranties pass through to the customer. State any limit on liability and the insurance you carry. This section is the one most worth an attorney's time.
7. Records
The provider keeps a record of each visit, including work performed, readings, and photos where relevant, and provides copies on request.
8. Termination
Either party may end the agreement with written notice. Fees for work already performed and parts already ordered remain due. State any notice period and how prepaid amounts are handled.
